1. INTRODUCTION

Welcome to UnderSign Toolkit.

UnderSign Toolkit ("Service", "Platform", "Application", "we", "our", or "us") is a product owned and operated by Xcesslogic.

These Terms and Conditions ("Terms") govern your access to and use of UnderSign Toolkit, including all websites, applications, APIs, electronic signature services, document management features, and related services.

By creating an account, accessing, or using the Service, you agree to be bound by these Terms.

If you do not agree with these Terms, you must not access or use the Service.

2. ELIGIBILITY

You must:

• Be at least eighteen (18) years old.
• Have the legal capacity to enter into binding agreements.
• Use the Service only in compliance with applicable laws and regulations.

You may not use the Service if doing so would violate laws applicable to you or your organization.

3. DESCRIPTION OF SERVICE

UnderSign Toolkit is an electronic signature and document workflow platform that allows users to:

• Upload documents
• Send documents for signature
• Collect electronic signatures
• Generate audit trails
• Generate signing certificates
• Manage documents and templates
• Use APIs for integrations and automation
• Collaborate within workspace limitations

The Service primarily supports:

• Simple Electronic Signatures (SES)
• Advanced Electronic Signatures (AES)

The Service does not provide: Qualified Electronic Signatures (QES), Government-issued digital signature certificates, Identity verification services, Notary services, or Legal advice.

4. FREE PLAN AND SERVICE LIMITATIONS

The Service currently offers a free plan. The free plan may include limitations such as:

• Maximum storage allocation (currently up to 500 MB)
• API usage credits (currently up to 1,000 credits)
• Workspace user limits (currently up to 5 users)
• Rate limits and feature restrictions

These limits may change at any time. Additional quotas or premium features may be offered through paid upgrades. We reserve the right to enforce fair-use policies to protect platform stability.

5. ACCOUNT REGISTRATION

To access certain features, users must create an account. You agree to provide accurate information, protect account credentials, and accept responsibility for all activity occurring under your account.

6. DOCUMENT OWNERSHIP

You retain ownership of all documents, data, and content uploaded to the Service. By using the service, you grant us a limited license solely to store, process, and deliver documents to facilitate signing workflows and generate audit records.

7. USER RESPONSIBILITIES

You are solely responsible for document content, signer authorization, and the legal validity of transactions. You acknowledge that electronic signature laws vary by jurisdiction and you are responsible for ensuring compliance.

8. ELECTRONIC SIGNATURE DISCLOSURE AND CONSENT

By using the Service, you agree to conduct transactions electronically. You consent to receiving records and signing documents electronically. You acknowledge that while electronic signatures carry legal effect in many jurisdictions, some documents may require additional legal formalities.

9. AUDIT TRAILS AND CERTIFICATES

The Service may generate audit trails and signature certificates for informational and evidentiary purposes. We do not guarantee that these will satisfy specific legal requirements in every jurisdiction.

10. API ACCESS

You agree not to abuse API resources or circumvent rate limits. We reserve the right to limit, throttle, or suspend API access at our sole discretion.

11. ACCEPTABLE USE POLICY

Illegal Activities

Do not violate laws, commit fraud, or facilitate criminal activity.

Harmful Content

No malware, viruses, spyware, or malicious code.

Prohibited Content

No child exploitation material, hate content, harassment, or defamatory material.

Abuse of Platform

No account sharing, automated scraping, reverse engineering, or security testing without permission.

12. CONTENT MODERATION

We reserve the right to review reported content, remove prohibited material, and cooperate with law enforcement as necessary.

13. STORAGE AND DATA RETENTION

Documents are stored on servers located within the European Union. Deleted accounts may have associated documents retained for up to three (3) months before permanent deletion.

14. INACTIVE ACCOUNTS

Accounts inactive for six (6) months may be scheduled for removal. We will attempt to provide three (3) months notice prior to removal.

15. SERVICE AVAILABILITY

The Service is provided on an "as available" basis. While we aim for high availability, maintenance and outages may impact performance. There are no contractual uptime guarantees.

16. SUPPORT

Free plan users receive support via email only. Response times are not guaranteed, but we aim for 48 business hours. No SLA applies to free accounts.

17. COOKIES POLICY

The Service uses cookies for authentication, security, and session management. By using the Service, you consent to cookies necessary for platform operation.

18. INTELLECTUAL PROPERTY

All platform software, branding, and interfaces remain the exclusive property of Xcesslogic.

19. FEEDBACK

Any feedback or suggestions provided may be used by Xcesslogic without compensation or restriction.

20. THIRD-PARTY SERVICES

We are not responsible for any third-party services, websites, or integrations used in conjunction with our Platform.

21. MODIFICATION OF SERVICE

We may add, remove, or modify features and quotas at any time with or without notice.

22. TERMINATION

We may suspend or terminate accounts for violations of these Terms, security concerns, or legal obligations without prior notice.

23. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED "AS IS." TO THE MAXIMUM EXTENT PERMITTED BY LAW, XCESSLOGIC DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

24. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, XCESSLOGIC'S TOTAL LIABILITY FOR ANY CLAIMS SHALL NOT EXCEED USD $100.

25. INDEMNIFICATION

You agree to indemnify Xcesslogic against claims arising from your use of the service, uploaded content, or violation of these Terms.

26. FORCE MAJEURE

We are not liable for failures resulting from events beyond our control, including natural disasters, internet outages, or cyberattacks.

27. GOVERNING LAW

These Terms shall be governed by and interpreted under the laws of India.

28. JURISDICTION

Any dispute shall be subject to the exclusive jurisdiction of the courts located in New Delhi, India.

29. SEVERABILITY

If any provision is found unenforceable, the remaining provisions remain in full force.

30. ENTIRE AGREEMENT

These Terms and our Privacy Policy constitute the entire agreement between you and Xcesslogic.

31. CHANGES TO TERMS

We may update these Terms at any time. Continued use of the Service constitutes acceptance of revised Terms.

6. DATA RETENTION

Account Information

Retained while an account remains active.

Deleted Accounts

Documents and associated information may be retained for up to three (3) months following account deletion before permanent removal.

Inactive Accounts

Accounts inactive for six (6) months may be scheduled for removal. We will attempt to provide at least three (3) months advance notice before removal due to inactivity.

7. DISCLOSURE OF INFORMATION

We do not sell personal information. We may disclose information only:
